These are the Terms and Conditions governing attendance or participation in any virtual event, webinar, or conference hosted by LegitScript LLC (the “Virtual Event”). By registering for, attending, and/or participating in the Virtual Event, you agree to abide by these Virtual Event Terms and Conditions. If you are completing this registration on behalf of another individual, it is your responsibility to ensure that individual is aware of these terms and accepts them.
Use of Likeness. By participating in the Virtual Event you acknowledge and agree to grant LegitScript the right to record, photograph, film, or otherwise capture your likeness at the event, in any media now available or hereafter developed and to distribute, broadcast, use, repurpose, or otherwise globally to disseminate, in perpetuity, such media without any further approval from you or any payment to you. This grant includes, but is not limited to, the right to edit such media, to use the media alone or together with other information, and the right to allow others to use or disseminate the media.
Virtual Event Content. You acknowledge and agree that LegitScript, in its sole discretion, reserves the right to change any and all aspects of the Virtual Event, including but not limited, the name, themes, content, hosts, moderators, venue, and time.
The Virtual Event and its content and/or any associated materials (the “Virtual Event Content”) are for informational purposes only and should not be construed as an approval, endorsement, or recommendation of any product or company. LegitScript cannot and does not guarantee that the Virtual Event Content is accurate, reliable, current, complete or appropriate for your needs. You acknowledge and agree that any decisions made in reliance upon the Virtual Event Content are made at your own risk.
Prohibited Conduct. You acknowledge and agree that LegitScript reserves the right to remove you from the Virtual Event if LegitScript determines, in its sole discretion, that your participation or behavior disrupts or hinders the Virtual Event or other attendees’ enjoyment of or participation in the Virtual Event. LegitScript may also exclude any prospective attendee from registering or participating in any Virtual Event, in LegitScript’s sole discretion.
You further acknowledge and agree that recording or broadcasting audio or video of the Virtual Event is prohibited without the prior express written consent of LegitScript.
Intellectual Property. All intellectual property rights in and to the Virtual Event, including the Virtual Event Content and any materials distributed in connection with the Virtual Event, are owned by LegitScript. You may not use or reproduce or allow anyone to use or reproduce any trademarks or other trade names appearing at the Virtual Event, in any Virtual Event Content or in any materials distributed at or in connection with the Virtual Event for any reason without the prior written permission of LegitScript.
Disclaimer of Warranties and Limitation of Liability.
You agree that neither LegitScript, its subsidiaries, affiliates, owners, officers, directors, employees, agents or representatives shall have any liability, contingent or otherwise, for the truthfulness or accuracy of the Virtual Event or the truthfulness, accuracy, timeliness, completeness or correct sequencing of the Information, or for any decision made or action taken by you in reliance upon the Virtual Event Content, or for any other aspect of the Virtual Event.
THE VIRTUAL EVENT IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THERE IS NO WARRANTY OF MERCHANTABILITY, NO WARRANTY OF FITNESS FOR A PARTICULAR USE AND NO OTHER WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE VIRTUAL EVENT. YOU RECOGNIZE THAT THE ACCURACY OF ANY VIRTUAL EVENT CONTENT SHOULD BE CHECKED BEFORE YOU RELY ON IT.
IN NO EVENT WILL LEGITSCRIPT BE LIABLE TO YOU, YOUR CUSTOMERS OR ANY OTHER PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO, LOST PROFITS OR DAMAGES THAT RESULT FROM INCONVENIENCE, DELAY, OR LOSS OF USE OF THE VIRTUAL EVENT), OR CLAIMS ARISING IN TORT (INCLUDING NEGLIGENCE), EVEN IF LEGITSCRIPT HAS BEEN ADVISED OF OR ARE OTHERWISE AWARE OF THE POSSIBILITY OF ANY OF THE FOREGOING.
Indemnification. You agree to indemnify and hold harmless LegitScript, its subsidiaries, affiliates and their respective officers, directors, employees, agents and representatives from and against any and all claims, losses, liability, costs and expenses (including but not limited to reasonable attorneys’ fees) arising from or relating to your use of the Virtual Event Content, and/or your violation of these Terms and Conditions or any third party’s rights, including but not limited to copyright, proprietary and privacy rights.
Privacy. Your privacy is important to us. Please review LegitScript’s Privacy Policy to learn how we protect and treat information you provide to us.
Miscellaneous. LegitScript’s failure to exercise any provision of these Virtual Event Terms and Conditions or of our Privacy Policy shall not be deemed a waiver of such provision or of the right to enforce such provision. Should any provision of these Virtual Event Terms and Conditions be found to be void, invalid, unenforceable or illegal by a court, such provision shall be valid and enforceable to the extent permitted by applicable law, and the validity and enforceability of the other provisions shall not be affected thereby. These Virtual Event Terms and Conditions shall not be assignable by you, either in whole or in part. LegitScript reserves the right to assign its rights and obligations under these Virtual Event Terms and Conditions. These Virtual Event Terms and Conditions and our Privacy Policy shall be governed by U.S. federal law or the laws of the State of Oregon, U.S.A., without regard to its conflict of law principles. In any action arising under these Terms and Conditions or our Privacy Policy, you consent to the jurisdiction and venue of the state and federal courts of Oregon, U.S.A. These Virtual Event Terms and Conditions and Privacy Policy relate only to the Virtual Event, embody the entire understanding between the parties with respect to this Virtual Event and supersede any and all prior representations and agreements, if any, oral or written, with respect to this Virtual Event. In the event of any conflict between these Virtual Event Terms and Conditions and/or Privacy Policy and any separate agreement you have executed or otherwise entered into regarding this Virtual Event, the terms of such separate agreement shall control.
